CONFERENCE & EXPO or SPECIAL EVENTS AMBASSADOR AGREEMENT By submitting this AMBASSADOR Agreement (“Agreement”) to Millennium Professionals, the below signed “Ambassador” is requesting “Tabletop Showcase/Exhibit/Advertising Space” at Millennium Professionals, Annual or Special Event. 1. AMBASSADOR(S) agrees that there will be a maximum of three company representatives for assign/respective company space at any given time. 1A. AMBASSADOR agrees that this level of participation in the event entails an agreement to be the power of word of mouth in Ambassador's networks through email, postcards and/or phone calls sharing the event with at least 15-20 women. 2. AMBASSADOR(S) understands and agrees that the showcase space will be assigned at the sole discretion of Millennium Professionals will assign space on a priority point system (first registered, first assigned). 3. The AMBASSADOR(S) fee for each space begins at $169.95 plus registration fee (unless otherwise specified). Please check with Millennium Professionals for space availabilities and prices. The required fee must be paid at the time of submission of this Agreement online at www.millenniumprofessionals.com. Agreement may be faxed to Millennium Professionals, at (please call). No showcases will be allowed to set-up unless paid in full two weeks prior to the conference/event. 4. Any cancellations must be in writing. Space fees, less an administrative fee of $75, will be refunded if received in writing at least 120 days prior to the event. No refunds will be given for cancellations received within 119 days of the event. All shocases must be in place by 1:00 P.M. on the day of the event. Dismantling may not begin before 7:00 p.m. for special events on the day of the event. Should the conference need to be rescheduled due to low registration or other unforeseen reasons, the ambassador will be provided the same opportunity to showcase products/services on the rescheduled date. Should AMBASSADOR decide not to participate on rescheduled date, fees paid for exhibit space may be forfeited entirely. 5. Collateral material and brochures cannot be placed on any tables outside of the exhibit area. 6. The Showcase/Exhibit shall not extend or project beyond the allotted space and it shall not interfere with traffic to other exhibits. 7. AMBASSADOR(S) assumes entire responsibility and hereby agrees to protect, indemnify, and defend, and hold harmless Millennium Professionals, and the designated venue of the special event, and their respective employees, their affiliated corporations, agents or representatives (hereafter, collectively called “Indemnities”) against all claims, losses, and damages to persons or property, governmental charges or fines, and attorney fees arising out of, or caused by AMBASSADOR’ installation, removal, maintenance, occupancy, or use of the exhibit area or a part thereof. AMBASSADOR shall at all times protect, indemnify, save and hold harmless Indemnities against and from any and all losses, costs (including attorneys fees), damage, liability, or expense arising from or out of or by reason of any accident or bodily injury or other occurrence to any person or persons, including the AMBASSADOR, its agents, employees, and business invitees which arises from or out of or by reason of said AMBASSADOR’s occupancy and use of the designated venue of the special event or a part thereof. 8. AMBASSADOR(S) maintain sufficient liability insurance that covers all potential problems during the exhibit. In addition, AMBASSADOR acknowledges that Millennium Professionals, and the designated venue of the special event does not maintain insurance covering AMBASSADOR’s property and that is the sole responsibility of the AMBASSADOR to obtain insurance covering such losses. 9. AMBASSADOR(S) agree to abide by the RULES AND REGULATIONS for exhibits set forth herein. This Agreement will be effective upon acceptance by Millennium Professionals . A signed copy of the Agreement will be returned to the AMBASSADOR. 10. AMBASSADOR understands and agrees that Millennium Professionals & Conference & Expo can not and does not guarantee nor promise a particular number of attendees or participants for any event. 10A. AMBASSADOR registrations associated with Ambassadors only includes electronic or print ad and the opportunity to showcase products/services is associated with Ambassadorship, but has no cash value. NO REFUNDS. 11. NO REFUNDS. AMBASSADOR understands that exhibiting is a form of advertising, and, for that purpose, space is being rented at the venue where named event is being held. However, in the event that a refund is determined (e.g., event cancelled), the refund will be processed and mailed within 8 weeks of the determination. 12. If AMBASSADOR used a credit card to secure payment for AMBASSADOR/advertising space, credit card authorization or process is valid until the expiration date noted on the face of the credit card. 13. In the event a charge is not honored, the AMBASSADOR personally guarantees payments of the above amounts due by AMBASSADOR. 14. A facsimile of this credit card authorization shall be regarded, and have the same force and effect, as an original. 15. NO REFUNDS. The AMBASSADOR understands and agree that by contracting with Millennium Professionals, for Life’s , certain exhibit/advertising space and/or services have been reserved solely for AMBASSADOR, and thus, are no longer available to other potential customers/AMBASSADORs. NO CHARGEBACKS Therefore, the undersigned AMBASSADOR understands and agree that all amounts charged to the credit card are non-refundable. The undersigned AMBASSADOR further agree: a) to waive any right to any chargebacks, b) that any dispute will be taken up directly with Millennium Professionals; and c) that any claim with the entity issuing the card resulting in a chargeback to Millennium Professionals shall constitute a breach of contract and is subject to legal fees, court costs, any third party collection handling fees that Millennium Professionals incurs, a $125 dollar fee plus the outstanding balance. The undersigned AMBASSADOR understand and agree that this electronic agreement has the same force and effect as a paper contract/agreement and is legally binding in any U.S. court of law. 16. AMBASSADOR agrees that he/she has considered the finiancial investment and is in the position to take a financial risk by advertising and renting space at event. CANCELLATION POLICY. The AMBASSADOR and Millennium Professionals, both agree: A. Millennium Professionals, reserves the right to cancel the AMBASSADOR and/or the event due to low registrations (for admission fee based events), severe weather conditions, labor disputes, or for any other reason Millennium Professionals, deems appropriate. Under these conditions, Millennium Professionals, offer the following provisions in lieu of AMBASSADOR fees paid for AMBASSADOR space. 1. Participate in another event on AMBASSADOR level 2. Advertising equivalent to value of AMBASSADOR fees paid 3. Transfer exhbitor opportunity to another representative with your business name. You will be responsible for finding prospective participant. Otherwise, there are NO cash refunds. B. This agreement constitutes the complete understanding between the parties and supercedes any prior understandings between them. No modification or amendment, promise, waiver, or representation will be valid or binding unless made in writing and signed by both the AMBASSADOR and Millennium Professionals. I understand and agree to this cancellation policy. BY SUBMITTING THIS ELECTRONIC REGISTRATION, IT HAS THE SAME FORCE AND EFFECT AS A PAPER CONTRACT/AGREEMENT, IS LEGALLY BINDING AND I AM AGREEING TO ALL OF THE Millennium Professionals AND SPECIAL EVENTS TERMS AND CONDITIONS MENTIONED OR DESCRIBED AT THEIR WEBSITE.
